By accessing or using Rate My Clinic (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform. We may modify these Terms from time to time. Continued use of the Platform following any updates constitutes acceptance of the revised Terms.

Rate My Clinic is an online platform that hosts user-generated content, including reviews and ratings of clinics. The Platform: • Does not provide medical advice. • Does not provide legal advice. • Does not endorse or recommend any clinic. • Does not independently verify the factual accuracy of user reviews. All reviews reflect the opinions of individual users.

The Service is intended solely for healthcare professionals and clinic team members. By creating an account or submitting content on the platform, you represent and warrant that: • You are at least 18 years old or the age of majority in your province or territory; • You are a healthcare professional, or clinic team member in good standing within your applicable jurisdiction; • You have the legal capacity to enter into a binding agreement; and • All information you provide for profession/employment verification purposes is accurate and truthful. We reserve the right to suspend or terminate accounts if eligibility requirements are not met.

Users are solely responsible for the content they submit, including reviews, ratings, comments, and other materials. By submitting content, you represent and warrant that: • The content is based on your genuine, first-hand experience. • The content is truthful to the best of your knowledge. • The content does not contain defamatory, false, misleading, or unlawful statements. • The content does not violate any applicable law or professional confidentiality obligation. You acknowledge that you are legally responsible for any content you submit.

You agree not to use the Platform to: • Make false allegations of criminal conduct; • Make unsupported claims of fraud, abuse, or regulatory violations; • Publish confidential patient information; • Harass, threaten, or defame any individual or clinic; • Impersonate another person; • Circumvent moderation or verification systems. Violation of these Terms may result in removal of content and/or suspension or termination of your account.

Rate My Clinic reserves the right, but not the obligation, to review, moderate, edit for formatting, or remove content at its sole discretion. We may remove content that: • Violates these Terms or our Community Guidelines; • Appears unlawful; • Is the subject of a valid complaint; • Creates legal risk for the Platform. We are not obligated to remove content solely because a clinic disputes it.

The inclusion of a clinic on the Platform does not constitute endorsement or recommendation. Rate My Clinic is not affiliated with, endorsed by, or acting on behalf of any clinic unless expressly stated.

Use of the Platform does not create: • A medical relationship, • A legal relationship, • An employment relationship, • Or any advisory relationship. Users must independently evaluate clinics and make their own decisions.

To the maximum extent permitted by applicable law, Rate My Clinic and its officers, directors, affiliates, and employees shall not be liable for any loss, damages, or harm arising from: • Reliance on user-generated content; • Any dispute between users and clinics; • Any indirect, incidental, consequential, or punitive damages. The Platform is provided on an “as is” and “as available” basis.

You agree to indemnify and hold harmless Rate My Clinic and its officers, directors, and affiliates from and against any claims, damages, liabilities, costs, or legal expenses arising from: • Content you submit; • Your violation of these Terms; • Any allegation that your content is defamatory, unlawful, or infringes the rights of another party.

All Platform content, design, logos, trademarks, and branding are the property of Rate My Clinic or its licensors. Users retain ownership of the content they submit. By submitting content to the Platform, users grant Rate My Clinic a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content, and to create aggregated or anonymized data derived from such content, in connection with the operation, improvement, promotion, research, analytics, and commercialization of the Platform and related services.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein. Any dispute arising from or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Ontario.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
